Annual General Meeting
Royal Automobile Association of South Australia Incorporated
Members are advised that the 121st ANNUAL GENERAL MEETING of the Royal Automobile Association of South Australia Incorporated will be held as an in-person meeting at the Adelaide Entertainment Centre, 98 Port Rd, Hindmarsh on Monday, 11 November 2024 at 1:30pm.

Items of Business
1. To confirm the minutes of the Annual General Meeting held on 27 November 2023.
2. To receive the President’s Report, CEO’s Report and Accounts for the year ended 30 June 2024.
3. To consider and, if thought fit, pass the following resolution as a special resolution:
“That:
(a) subject to the approval of the Commissioner of Consumer and Business Affairs, the legal identity of the Royal Automobile Association of South Australia Incorporated be changed from an incorporated association under the Associations Incorporation Act 1985 (SA) to a public company limited by guarantee under the Corporations Act 2001 (Cth); and
(b) the proposed constitution of the public company limited by guarantee, as made available to all members in advance and as tabled at the Annual General Meeting, be approved.”
4. To consider and, if thought fit, pass the following resolution as an ordinary resolution:
“That, for the purposes of Rule 11.11(b) of the Association’s Constitution, the total aggregate annual remuneration payable to all directors of the Association (excluding any Managing Director) be increased from $600,000 per annum to a maximum of $800,000 per annum.”
