Notice is hereby given that a second meeting of the creditors of the Association will be held at Clifton Hall, Level 3, 431 King William Street, Adelaide, South Australia on Monday, 5 May 2025 at 11:00 AM (ACST).
AGENDA
1. To consider the Administrators’ report on the business, property, affairs and financial circumstances of the Association.
2. To receive the Administrators’ opinion as to whether it is in the best interests of creditors for:
(i) the Association to execute a Deed of Arrangement (‘DOA’);
(ii) the Administration to end; or
(iii) the Association to be wound up.
3. To receive any other information known to the Administrators to enable the creditors to make an informed decision about the matters referred to above.
4. To receive details of any transactions that appear to the Administrators to be voidable transactions in respect of which money, property, or other benefits that may be recoverable by a liquidator.
5. To receive details of any proposed DOA.
6. For creditors of the Association to consider and resolve whether:
(i) the Association should execute a DOA;
(ii) the Administration should end; or
(iii) the Association should be wound up.
7. To determine the Administrators’ remuneration.
8. To determine of the Administrators’ internal disbursements.
9. If the Association is wound up, to determine the Liquidators’ remuneration.
10. If the Association is wound up, to determine the Liquidators’ internal disbursements.
11. To consider the appointment of a Committee of Inspection and, if so, who are to be the committee members.
12. Any other business.
A person is not entitled to vote at a creditors’ meeting unless they are a creditor of the Association, have lodged a proof of debt form with the Administrators and the Chairperson presiding over the meeting has admitted their claim for voting purposes.
To be eligible to vote at the meeting, proofs of debt and proxy forms must be lodged with the Administrators by no later than 4:00 PM on Friday, 2 May 2025.
